Sole-proprietorship (I.I.)

Emergency Ordinance No. 44 of 2008 regulates access to economic activity, the procedure of registration in the Trade Register and authorizing officers and the legal regime of Individual Enterprises (I.I.) and Family (Proprietorship .I.F.) authorized to conduct their economic activities.

Liberal professions, as well as those economic activities whose progress is organized and regulated by special laws, cannot be recorded and performed by Individual Enterprises and Family-proprietorship. Also, the same thing is true for those economic activities for which the law established a special legal regime, certain restrictions of competition or other prohibitions.

In accordance with the right of initiative, of the right to free association and of the right of establishment, any individual, Romanian citizen or a citizen of another Member State of the European Union or EEA, may develop economic activities on the territory of Romania, under the conditions stipulated by law.

Individuals mentioned above may develop economic activities as entrepreneurs who hold an individual enterprise (I.I.), or as members of a family-proprietorship (I.F.). They must have a professional establishment on the territory of Romania, under the conditions stipulated by law.

Any economic activity undertaken occasionally or temporarily resident in Romania by individual enterprises or family -proprietorship must be registered and licensed under the GEO 44/2008. The authorized functioning under the conditions mentioned by Ordinance does not exempt individual and family enterprises to obtain, prior starting the activity, permits, approvals, licenses and so others, provided in special laws for the development of certain economic activities.

Individuals who wish to conduct their economic activities as entrepreneurs who hold an individual enterprise (Pe) or as members of a family-proprietorship (I.F.) have the obligation to request registration at the Trade Register and the authorization of functioning, before starting the economic activity.

Can develop economic activities in the form of P.e. or I.F. individuals who:

1.      are over the age of 18, in the case of individuals who request authorization for carrying out economic activities as entrepreneurs who hold an individual enterprise as well as in the case of the representative of the family-proprietorship, age 16, in the case of members of the family-proprietorship;

2.      did not commit acts prosecuted by financial laws, customs and those related to financial and fiscal discipline, the nature of those who enroll in the fiscal record;

3.       have a working office according to the law;

4.       declare on their own responsibility that fulfill the conditions of operation provided by sanitary, veterinary, environment protection and labor protection legislation.

The necessary documents for the establishment of a Sole-Proprietorship are the following:

  • Copy of the Identity Card;
  • Certified Copy of Proof of Ownership (in case you have no place to register your office, you can choose for our hosting service offices)
  • Extract of the land in the original book, within the term of validity of the accreditation
  • Original tax certificate, within the term of validity of the accreditation
  • The Association of owners/tenants agreement
  • Documents that certify the training/professional experience: Copy after diploma/study/attested documents (which have connection with the objects that are to be held)- proof of the qualification in the field of activity watched
  •  Bailment Contract
  • Specimen signature
  • Notary Attorney
